TDW Welcomes Plugging Specialists International ASA

In a press release issued from Oslo, Norway dated October 3, 2005, D. Bruce Binkley, President and Chief Operating Officer of T.D.Williamson, Inc. announced the acquisition of Plugging Specialists International ASA ("PSI"), the world's leading, remote controlled, tetherless, pipeline isolation services company headquartered in Stavanger, Norway, had been completed. The proclamation marked the end of a thorough and deliberate process that began in the spring of 2005 at which time TDW began its pursuit of PSI. At the same time, the ownership and management of PSI initiated their examination of the business culture and technical capabilities of TDW.

TDW arrived at the table with more to offer than a basic financial arrangement. That "something extra" proved to be the deciding factor. The quest for PSI focused on achieving the strongest possible synergistic arrangement in a way that would accelerate both companies to higher levels of success by blending well established areas of excellence. Such a pact would include demonstrated levels of comfort, familiarity and appreciation for the technologies and processes involved with establishing a seamless integration of company resources. The right relationship would also include a shared commitment to maintain the highest levels of product quality and customer satisfaction. The fact that TDW and PSI were already on the same page in terms of pipeline maintenance technology and offshore service goals meant that establishing a working relationship would be much easier. Over the span of several months and numerous visitations, it became evident that PSI and TDW were an excellent strategic match.

In his statement, Binkley says, "This acquisition, the largest in our company's history, represents a significant commitment for TDW, enhancing our current offshore market presence with proven technology and application capabilities, in a leading brand (PSI) market position. Combining TDW's product and service offerings with PSI's technology, engineering and project management capabilities is expected to accelerate TDW's growth as we continue to move strategically into the offshore services market and larger, more turnkey pipeline solutions."

PSI will become a key operation within TDW's Offshore Services Division. In coming months, TDW's Offshore Services operations headquartered in Houston will be consolidated with PSI's operations. The plan is to leverage TDW's global sales and service infrastructure and extract the most out of the combined strength synergies of PSI and TDW offshore product and service offerings. PSI will maintain their recognized brand and operate globally as a TDW company.

During a recent discussion, TDW's Jon Major, Vice President, Western Hemisphere Region, reflected on the recently completed fact-finding and negotiation process with PSI. Major notes, "The Norwegians are a friendly and sincerely generous people. We have enjoyed the opportunity to interact and develop a working relationship with them."
